Welcome to Trast LLC (“Company,” “we,” “us,” or “our”). We provide information, digital tokens, and related services through our website and associated platforms (collectively, the “Services”). These Terms of Service (“Terms”) govern your access to and use of our Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

Trast LLC is formed under the laws of the State of Wyoming, United States. However, we do not offer or market our Tokens or Services to U.S. persons or residents, as explained below.

2. ACCEPTANCE OF TERMS

  • Legal Capacity: You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.
  • Binding Agreement: By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional guidelines, policies, or rules that we may post.
  • Updates: We reserve the right to modify these Terms at any time. We will post the revised Terms on our website with a "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

3. SERVICES OVERVIEW

  • Purpose: We develop and maintain an ecosystem for the Trast digital token ("Token" or "TRAST"), as well as provide related tools, interfaces, and content.
  • Utility Nature: Our Token is intended for use within the Trast ecosystem. It is not offered or sold as an investment, security, or commodity.
  • No Guarantee of Availability: We do not guarantee uninterrupted access to the Services. We may modify or discontinue parts of the Services at any time without notice.

4. NO U.S. PARTICIPATION

  • Restricted Jurisdictions: Our Token offering and certain Services are not available to U.S. persons or residents, nor to individuals or entities in jurisdictions where the use or offering of Tokens is restricted or prohibited by law.
  • Geoblocking & KYC: We employ geoblocking, IP restrictions, and/or KYC procedures to enforce this restriction. You agree not to circumvent these measures.
  • Responsibility to Comply: If you are physically located in or a resident of the United States, or otherwise considered a "U.S. Person," do not participate in any token sales or restricted Services. By using the Services, you warrant that you are not breaching any laws or regulations in your jurisdiction.

5. TOKEN OFFERING & SALE TERMS

  • Utility Token Only: TRAST is designed for utility and not as a speculative investment. We make no promises of future value or returns.
  • Offering Conditions:
    • Non-U.S. Only: You confirm that you are not a U.S. citizen, resident, or entity.
    • No Guarantee of Listing: We do not guarantee that the Token will be listed on any centralized or decentralized exchange.
    • Vesting and Distribution: If you acquire TRAST, any vesting schedule or lock-up period will be clearly disclosed. You must accept these conditions before acquiring tokens.
  • Risks: Purchasing or using Tokens involves significant risks, including potential loss of value. You acknowledge that you fully understand these risks.

6. ACCEPTABLE USE & USER OBLIGATIONS

  • Lawful Purposes: You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws.
  • Prohibited Conduct: You must not:
    • Violate or encourage others to violate laws or regulations;
    • Infringe or misappropriate intellectual property rights;
    • Interfere with the security or operation of the Services;
    • Attempt to bypass any content-filtering techniques or access areas of the Services you are not authorized to access.
  • User Representations: You warrant that all information you provide (e.g., for KYC or account registration) is accurate and up to date.

7. INTELLECTUAL PROPERTY RIGHTS

  • Ownership: Trast LLC and its licensors own all rights, title, and interest in and to the Services, including but not limited to the website, software, text, graphics, logos, trademarks, and other content.
  • Limited License: We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
  • Restrictions: You must not copy, distribute, modify, or create derivative works of any part of the Services without our written consent.

  • Token Volatility: Digital assets can be highly volatile. We make no representations regarding the price or stability of any Token.
  • No Fiduciary Duty: Your use of the Services does not create a fiduciary relationship between you and Trast LLC.

11. LIMITATION OF LIABILITY

  • Indirect Damages: To the fullest extent permitted by law, Trast LLC and its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill.
  • Aggregate Liability: Our total liability to you for any claims arising out of or relating to these Terms or the Services is limited to the amount you paid us (if any) in the twelve (12) months preceding the event giving rise to the claim.
  • Jurisdictional Limitations: Some jurisdictions do not allow certain limitations of liability, so some of the above exclusions may not apply to you.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Trast LLC, its affiliates, and their respective officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:

  • Your breach of these Terms;
  • Your misuse of the Services or Tokens;
  • Your violation of any applicable laws or regulations; or
  • Any infringement by you of any third-party right.

13. FORCE MAJEURE

We are not liable for any failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, governmental actions, internet or power failures, or other force majeure events.

14. TERMINATION

  • Right to Terminate: We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms or failure to pass KYC/AML checks.
  • Your Choices: You may discontinue use of the Services at any time. Upon termination, all rights granted to you under these Terms end immediately.

15. GOVERNING LAW & DISPUTE RESOLUTION

  • Governing Law: These Terms and any disputes arising out of or relating to them are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
  • Venue: Any legal action must be brought exclusively in a court of competent jurisdiction located in Wyoming, unless the parties agree to arbitration or an alternative forum.
  • No Class Actions: You agree to resolve disputes on an individual basis. You waive any right to participate in a class or collective action.

16. SEVERABILITY & WAIVER

  • Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision will be severed, and the remainder will remain in effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17. ENTIRE AGREEMENT

These Terms, together with any policies or disclaimers referenced herein, constitute the entire agreement between you and Trast LLC regarding the Services and supersede any prior agreements or understandings, whether written or oral.
